We run a well managed, responsible business within a clear and efficient governance framework.
The Company complied with all the provisions in Section 1 of the Combined Code from the demerger date to 22 October 2008 with the following two exceptions.
The Company had an Executive Chairman who carried out, in part, Chief Executive responsibilities.
The International Personal Finance plc Incentive Plan provides a one-off (rather than phased) incentive to the senior executive team in the three-year period following demerger. This is designed to incentivise them to achieve the Company's ambitious plans and strategic targets during this critical period in the development of the Company.
With effect from 22 October 2008 the Company had a Chairman and Chief Executive and therefore complied with the Combined Code in this regard.
